Terms of Service

1. Introduction

These terms of service govern your use of software development and management services provided by Forgd, a trading name of Kabooly Ltd (registered in England and Wales, Company No. 15653819). By engaging my services, you agree to these terms.

2. Services

Forgd provides custom software development and ongoing management services for small businesses. The specific scope of work for each project will be detailed in a separate proposal and agreed in writing before work begins.

3. Pricing and Payment

All prices are quoted in GBP and confirmed in writing before work begins. There are two types of fee:

  • Monthly management fee - Invoiced monthly from the date your service begins. This covers hosting, maintenance, backups, security, monitoring, and support.
  • Build fee - Invoiced separately on completion of the build, once you are satisfied the software is working as intended.

Your monthly management starts from day one, so you only need to commit to a small recurring fee upfront. The larger build payment is not due until your software is complete and you are happy with it.

4. Code Ownership

You own the software I build for you. Upon full payment of the build fee, all intellectual property rights in the custom code transfer to you. I retain no rights to your code or data.

5. Management Services

My monthly management service includes hosting, backups, security updates, monitoring, and reasonable support. The specific inclusions for your project will be detailed in your service agreement.

6. Client Responsibilities

To deliver a successful project, I need your help. You agree to:

  • Provide timely feedback and approvals during the build process
  • Supply any content, data, or access I need to complete the work
  • Notify me promptly of any issues with your software

7. Cancellation

You may cancel the monthly management service with 30 days' written notice. Upon cancellation, I will provide you with all source code, data, and documentation, and assist with a reasonable transition period at no additional cost.

8. Limitation of Liability

I take reasonable care to deliver reliable, secure software. However, my total liability is limited to the fees you have paid in the 12 months preceding any claim. I am not liable for indirect or consequential losses, including loss of profit or data, arising from the use of software I have built.

9. Data Protection

I comply with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. Full details of how I handle personal data are set out in my Privacy Policy. My ICO registration number is ZC086840.

10. Changes to Terms

I may update these terms from time to time. I will notify you of any material changes in advance by email.

11. Governing Law

These terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
